Please read the license agreement carefully before installing or using AD Pro Toolkit (the "Software"), a product of Active Directory Pro. If you do not agree to the terms and conditions of this agreement, then do not install or use the Software.
1. LICENSE
Use of the Software is governed by one of the following license types:
Evaluation License. The Software may be used free of charge for 14 days from first installation, with full functionality and no object limit, for evaluation and testing only. The evaluation version may not be used in production. A paid License is required for continued use after the evaluation period.
Paid License. A paid License permits the Software to be installed and used by up to the number of named Administrators or Technicians specified in the End User's purchase order, license certificate, or order confirmation. Each individual Administrator or Technician who installs or uses the Software counts as one (1) licensed user toward the License limit. The total number of end users in the underlying Active Directory environment does not affect the License or its limits. Additional Administrators or Technicians may be added at any time by purchasing an upgraded License from Active Directory Pro.
The End User is responsible for ensuring the number of Administrators or Technicians using the Software does not exceed the licensed quantity. The Software may, at the Owner's discretion, display notifications, restrict functionality, or limit access for additional users beyond the licensed quantity until the License is upgraded. Repeated or willful overage may result in termination of this License under Section 6.
2. SOFTWARE RENEWAL
A paid License allows use of the Software for one (1) year. This includes product updates, enhancements, and support from the date of purchase. Continued use beyond the renewal date requires a renewed or extended License.
3. DATA COLLECTION AND PRIVACY
All Active Directory and Microsoft 365 data processed by the Software remains within the End User's environment and is not transmitted to or accessible by Active Directory Pro. The Software does not collect, store, or transmit any directory data, user information, group information, credentials, configuration data, or other customer content.
The Software does transmit limited information to Active Directory Pro solely for the purpose of license validation and version checking. This information is limited to the license key, the software version, and the date and time of the check. No personally identifiable information, directory data, or customer content is included in these transmissions.
4. OWNERSHIP AND INTELLECTUAL PROPERTY
The Software is licensed, not sold. Active Directory Pro retains all right, title, and interest in and to the Software, including all copyrights, trademarks, trade secrets, patents, and other intellectual property rights. This Agreement grants the End User only a limited, non-exclusive, non-transferable license to use the Software in accordance with its terms. No source code, trademarks, or other proprietary rights are conveyed to the End User except as expressly set forth in this Agreement.
5. RESTRICTIONS OF USE
Unless Active Directory Pro (the "Owner") has authorized you to distribute the Software, you shall not make or distribute copies of the Software. You shall not decompile, reverse engineer, disassemble, include in other software, or translate the Software. You shall not rent, lease, resell, sublicense, assign, distribute or otherwise transfer the Software or this License. Any attempt to do so shall be void and of no effect. You shall not allow more Administrators or Technicians to use the Software than your License permits, nor shall you attempt to circumvent or disable any license enforcement mechanism in the Software.
6. TERMINATION
This License is effective until terminated. This License will terminate immediately without notice from Licensor if the End User fails to comply with any of its provisions, including but not limited to exceeding the licensed number of Administrators or Technicians. Upon termination the End User must destroy and uninstall the Software and all copies thereof, and the End User may terminate this License at any time by doing so.
7. WARRANTY DISCLAIMER
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ACTIVE DIRECTORY PRO DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT IT WILL MEET THE END USER'S REQUIREMENTS. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH THE END USER.
8. LIMITATION OF LIABILITY
Active Directory Pro will not, under any circumstances, be responsible or liable for any loss of use, production, profit, business, contracts, revenues or anticipated savings, any loss of information, any loss of opportunity, goodwill or reputation, any loss of, damage to or corruption of data, any increase in operating costs, any product recall or corrective action costs or any other financial or economic loss or any indirect or consequential loss or damage whatsoever whether suffered by the End-User or by any third party. Active Directory Pro will not, under any circumstances be liable for any direct or indirect damages arising out of the use or inability to use the SOFTWARE. IN NO EVENT SHALL ACTIVE DIRECTORY PRO'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT EXCEED THE AMOUNT PAID BY THE END USER FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of laws principles. Any disputes arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Missouri, and the parties consent to the personal jurisdiction of such courts.
10. SUPPORT & UPDATES
Product updates, enhancements and support are provided for one (1) year from the date of purchase. This can be extended by renewing the License.
